Planet Minimal Ltd Terms of Use
Planet Minimal Ltd (“We / Our”) and its employees, agents, and contractors provide delivery services for zero waste product refills to our customers. We offer you, our customers, our services subject to your compliance with and acceptance of the Terms of Use stated and set forth below.
Your use of Planet Minimal Ltd services (“Services”) indicates your agreement to be bound by the Terms of Use contained herein. Please read the following provisions carefully and if you do not agree, you should inform us and cease using the services immediately. This agreement is strictly between Planet Minimal Ltd, its customers and services provided by parties subcontracted by Planet Minimal Ltd, and does not in any way constitute or imply any relationship with any other parties.
Placing Orders:
Customers must place all orders via our wholesale ordering website by 3pm the day prior to the predetermined delivery day. We do not accept orders in any other form.
If orders are received after the cut-off time, delivery on the predetermined day is not guaranteed. The customer should contact us directly if an order is placed after the deadline to confirm when the order will be delivered.
Amending Orders:
The customer may add to an order that has already been placed by placing another order for the additional item(s) via the wholesale ordering website.
The customer may cancel an order or remove an item(s) from their order by forwarding their order confirmation email to info@planetminimal.com requesting the change. We will endeavor to ensure this is processed prior to the delivery being dispatched. The customer reserves the right to reject part or the whole delivery if the change has not been implemented by the time of delivery.
Deliveries:
Delivery will take place on a predetermined day and frequency as advised. We reserve the right to determine the delivery day/time and reschedule the delivery day/time upon prior notice to customers.
Unattended Delivery:
The customer may opt to have their delivery left for them at a pre-arranged drop-off point, in which case the customer is doing so at their own risk. We accept no responsibility for goods that are lost or damaged after they have been delivered either to an unattended location or an attended location determined by the customer.
Proof of Delivery:
The customer, its employees or designated person take responsibility for checking the deliveries when they are completed and signed for using our electronic proof of delivery system. Once signed for by the customer, its employees or designated person, the electronic proof of delivery shall serve as acceptance and proof.
Failure to report any missing or damaged items at the time of signing the proof of delivery removes any liability from Planet Minimal Ltd for the item or items in question.
Where deliveries have been dropped at a different pre-arranged location other than the customer's location, photographic evidence shall be taken and attached to the electronic proof of delivery. The customer agrees this photographic proof is valid.
Price:
Prices advertised on our wholesale ordering website exclude VAT, and VAT will be added at checkout to products where relevant. Our price includes delivery of goods and collection of empty drums. We reserve the right to change prices at any time. Any increase in price by our suppliers will be notified to our customers as soon as possible.
Fair use policy:
Whilst there is no minimum order quantity, customers are asked to make a minimum order amount of £175 ex. vat where possible. We reserve the right to refuse delivery of an order if it is deemed to be in abuse of this fair use policy.
Payment:
New customers may be asked to make payment upfront prior to any delivery of goods. Customers will be given credit accounts of 14 days once deemed appropriate by Planet Minimal Ltd. We reserve the right to remove credit terms with no notice. Payment of invoice should be made within the customers payment terms as stated on their invoice via BAC transfer or GoCardless Direct Debit.
All goods remain in the ownership of Planet Minimal Ltd until full payment is made by the customer.
Refunds:
All sales are final and all payments are non-refundable.
Loss or Damage:
The customer agrees to take reasonable care of all Planet Minimal Ltds refill containers, these remain the property of Planet Minimal Ltd even after full payment has been made by the customer for the contents. The customer agrees to return all containers to Planet Minimal Ltd.
The customer agrees not to make holes, write on, allow to become excessively dirty or modify in any way as to make containers unusable. We reserve the right to deem what is and isn’t usable.
We reserve the right to charge customers as follows if the above term is not met:
Excessively dirty: £3+vat per container
Marked/damaged/dented/not returned: £5+vat per container
Charges will be levied to the customers subsequent invoice.
Use of Third-Party Service Providers:
We reserve the right to utilise any outsourcer, vendor, or outside service provider for any service, without notice to the customer. Planet Minimal Ltd is not responsible for, and will not be held liable for, any damage or loss due to the acts or omissions of its vendors, third-party outsourcers, or service providers.
Confidentiality and Disclaimer:
Planet Minimal Ltd takes privacy and personal information seriously. We use the information collected to fulfill your requests for certain products and services, to process payment transactions and facilitate billing, and to otherwise deliver services.
We also may send newsletters and periodic notices about specials and new products.
Planet Minimal Ltd protects your personal information from disclosure except as used as stated herein, or 1) where we require your consent to share the information; 2) we need to share your information with third parties to provide the product or service you requested; 3) where appropriate to comply with the law; and 4) where it is necessary to enforce or apply the Terms of Use or the rights, property, or safety of Planet Minimal Ltd, or others.
Planet Minimal Ltd’s liability shall be limited to general money damages in a maximum amount not to exceed the charges for the term of service paid by the customer during the term in which the damages are alleged to have occurred. This liability shall be the extent of Planet Minimal Ltd’s liability regardless of the form in which any legal or equitable action may be brought and the foregoing shall constitute the customer’s exclusive remedy.
Planet Minimal Ltd disclaims all warranties, express or implied, with respect to the services rendered to the customer. Under no circumstances shall Planet Minimal Ltd be liable to customer or any third party for indirect, incidental, consequential, special or exemplary damages (even if advised of the possibility of such damages), arising from this agreement, such as, but not limited to, loss of revenue or anticipated profits or lost business, costs of delay, personal or property damage, or liabilities to third parties arising from any source.
Termination:
We reserve the right to terminate service and refund customers at any time for any reason. We will notify customers immediately via email.
Changes to Planet Minimal Terms of Use:
We reserve the right, at our sole discretion, to change these Terms of Use at any time by posting revised terms on our website. It is your responsibility to check periodically for any changes we may make to these Terms. Your continued use of our services following the posting of changes to these Terms or other policies means you accept the changes. The revised Terms of Use will take effect immediately upon its publication on our website.
Miscellaneous:
Upon the customer's authorisation to commence work, the terms of this Agreement shall be binding upon parties. This Agreement constitutes the entire understanding between the parties and supersedes any other prior understandings or agreements, written or oral, between the parties; its terms can be modified or waived only by a written amendment to this Agreement, signed by both parties, and no course of conduct, failure or delay shall affect the validity, binding effect or enforceability of this Agreement or be considered an implied waiver.
This Agreement shall be governed in all respects by the laws of the United Kingdom. The parties hereto hereby consent to the jurisdiction of the courts of the United Kingdom and each party waives all objections to the convenience of forum. Neither Customer nor Planet Minimal Ltd shall be liable to the other for any failure or delay in its performance due to any cause beyond its control, including acts of war, acts of God, acts of terrorism, riot, sabotage, labour shortage or dispute, Internet interruption, government acts, and other similar events. Planet Minimal Ltd shall be entitled to reimbursement for its expenses, including court costs, and reasonable legal fees, expenses and cost in any action against Customer.
Each provision of this Agreement shall be interpreted in such manner to be effective and valid under any applicable law, but if any provision is held to be invalid, illegal or unenforceable, then such provision shall be reformed, construed and enforced as if such provision had never been contained herein.
Planet Minimal Ltd reserves the right to discontinue services at the discretion of its authorised agents or representatives. In such case, any pre-paid fees for which services have not been provided will be refunded to the customer.
Consent:
Customer consents to being photographed and filmed by Planet Minimal Ltd in connection with his/her use of services. Customer further consents to Planet Minimal Ltd’s use of the photographs and films, including any performance, voice, or other aspects of Customer’s persona, by Planet Minimal Ltd for any function or reason. In addition, Customer assigns to Planet Minimal Ltd any copyright interest and right of publicity that may arise as a result of such filming or photography. This permission continues after a Customer’s death, disability or termination of this Agreement. The customer will not be given any compensation for Planet Minimal Ltd’s use of photographs or films.
